Overview

Background
NJR have been retained to lead the search for a Non-Executive Director on behalf of a well-established, mid-size, privately held manufacturing and retail Group with a diverse range of customers within the construction industry.
The Group consists of numerous subsidiary companies with both UK and European manufacturing facilities. Whilst our client is a private limited company, it has a large, family orientated, shareholder register and holds an Annual General Meeting.
The Role
The Board have decided to recruit a Non-Executive Director to provide external independent oversight and advice to the Board, to assist with the strategic development of the Group and to act as an advisor to the CEO / Exec Chairman.
This sole Non-Executive Director would be expected to attend the monthly Board meeting and the AGM as well as provide support for an additional day each month, therefore committing 25 days per year. Beyond this, there may be times when the Board would like to seek additional advice and support for Special Projects; any such additional engagement would be managed and remunerated on a project consulting basis (pro-rata the annual fee / time commitment).
The Person
The Board are ideally seeking an individual with some experience and understanding of the Construction industry; a background that includes Manufacturing leadership would be beneficial and, given the routes to market, additional knowledge of Retail might also be of interest.
The successful Non-Executive Director will bring knowledge and experience of company strategic planning / restructuring, be financially numerate, proactive, approachable and diplomatic. Additionally, they will ideally have experience of dealing with company shareholders, perhaps having had some exposure to the nuances of multi-generation family representation.
Compensation
Attractive remuneration through annual fee and any additional consulting / project involvement.
